Abstract

GCG muncul sebagai solusi atas permasalahan yang dialami perusahaan negara. Permasalahan yang sering muncul akan berdampak pada minimnya pendapatan dan laba yang diperoleh bahkan bisa berujung pada kerugian perusahaan. Untuk meminimalisir hal tersebut pemerintah melalui Menteri BUMN mengeluarkan peraturan Permen BUMN No. PER-01/MBU/2011 tentang Penerapan GCG pada BUMN. PT PG Rajawali I sebagai salah satu BUMN juga memiliki permasalahan dalam menerapkan prinsip GCG seperti belum adanya penyesuaian pedoman GCG dengan peraturan terbaru, kurangnya pengelolaan transparansi kepada publik, serta adanya campur tangan dari holding dalam pengelolaan perusahaan. Untuk itu diperlukan penerapan prinsip GCG secara konsisten guna mewujudkan perusahaan yang transparan, dapat dipertanggung jawabkan dan terpercaya melalui manajemen tata kelola perusahaan yang baik. Pada penelitian ini yang menjadi fokus dalam penelitian ini adalah penerapan masing-masing prinsip Good Corporate Governance yaitu: transparansi, akuntabilitas, responsibilitas, independensi, dan kewajaran, serta faktor pendukung dan penghambat yang mempengaruhi penerapan GCG pada PT PG Rajawali I Surabaya. Data yang diperoleh dalam penelitian ini melalui observasi, wawancara, dan dokumentasi. Maka peneliti menggunakan jenis penelitian deskriptif dengan pendekatan kualitatif melalui teknik analisis data model interaktif menurut Miles, Huberman dan Saldana yaitu reduksi data, penyajian data dan penarikan kesimpulan. Hasil dari penelitian ini menunjukkan bahwa PT PG Rajawali I Surabaya telah melaksanakan GCG sebagai landasan tata kelola perusahaannya namun terdapat beberapa prinsip GCG dalam penerapannya kurang optimal. Hal ini terlihat dari hanya dua prinsip GCG yang diterapkan secara optimal yaitu responsibilitas dan kewajaran, sedangkan prinsip transparansi, akuntabilitas, dan independensi kurang diterapkan sepenuhnya dalam tata kelola perusahaan PT PG Rajawali I. Dalam penerapan prinsip GCG juga tidak terlepas dari faktor pendukung dan penghambat. Faktor pendukung penerapan prinsip GCG di PT PG Rajawali I yaitu adanya komitmen direksi dalam menerapkan GCG, terdapat peraturan dan kebijakan yang mengacu pada praktik GCG, terdapat pengawas yang memantau pelaksanaan tata kelola perusahan. Sedangkan faktor penghambat penerapan prinsip GCG di PT PG Rajawali I yaitu kurangnya penyesuaian pedoman GCG dengan peraturan terbaru, rendahnya tingkat pemahaman dan kemampuan mempresepsikan GCG, serta dualisme dalam sistem holding.

English Abstract

GCG emerged as a solution to the problems experienced by the state company. Most of the problems that appear will have an impact on lack of income and profit obtained can even tipped at a disadvantage company. To minimize this government through the Minister of State Enterprises issued the ministerial regulation of State-owned enterprises (SOEs) on the Implementation of GCG in SOEs. PT PG Rajawali I as one of the SOEs also has problems in applying GCG principles such as lack of adjustment of GCG guidelines with the latest regulations, lack of management transparency public, and the interference of holding in the management of the company. Therefore, it is necessary to apply GCG principles consistently in order to create transparent, accountable and reliable companies through good corporate governance management. The focus of this research is the implementation of each of the principles of good corporate governance, namely: transparency, accountability, responsibility, independence and fairness, as well as enabling and inhibiting factors affecting the implementation of GCG PT PG Rajawali I Surabaya. The data obtained in this study through observation, interviews, and documentation. Then the researchers used a descriptive research with a qualitative approach through interactive model data analysis by Miles, Huberman and Saldana of data reduction, data presentation and conclusion. The results of this Research indicate that PT PG Rajawali I Surabaya has implemented GCG as the foundation of corporate governance. But there are some principles of GCG in implementation has less than optimal. This is evident from only two GCG principles that are applied optimally, namely responsibility and fairness. While the principle of transparency, accountability, and independence is still not fully implemented in corporate governance of PT PG Rajawali I. In the implementation of GCG principle is also inseparable from supporting and inhibiting factors. which supporting Factors the implementation of GCG principles in PT PG Rajawali I is, the commitment of directors in implementing GCG, there are regulations and policies that refers to the practice of GCG, there are supervisors who monitor the implementation of corporate governance. While the inhibiting factors the implementation of GCG principles in PT PG Rajawali I is, the lack of adjustment of GCG guidelines with the latest regulations, low level of understanding and ability to perceive GCG, and dualism in the holding system.
