Abstract
Pada skripsi ini, penulis mengangkat permasalahan pengaturan terkait bentuk badan hukum dan mekanisme penggabungan dan pengambilalihan klub sepak bola di Indonesia. Belum ada kepastian hukum dari peraturan perundangundangan maupun lex sportiva terkait bentuk badan hukum klub sepak bola di Indonesia dan mekanisme khusus terkait penggabungan dan pengambilalihan klub sepak bola profesional di Indonesia. Kekosongan hukum terkait hal tersebut dapat mencoreng asas sportivitas secara yang dijunjung tinggi dalam ranah olahraga khususnya sepak bola nasional yang sedang berada dalam tahapan menuju suatu industri yang maju dan profesional. Berdasarkan hal tersebut, maka rumusan masalah dalam penulisan tesis ini adalah sebagai berikut: (1) Bagaimana bentuk hukum klub sepak bola profesional di Indonesia dan seberapa mendesak perlunya dibuat regulasi? (2) Seberapa mendesak pembuatan regulasi yang tepat terkait akuisisi dan merger tim sepak bola profesional di Indonesia? Lalu penulisan skripsi ini menggunakan metode yuridis normatif dengan metode pendekatan perundang-undangan (statue approach), pendekatan perbandingan (comparative approach). Bahan hukum primer, sekunder, dan tersier yang diperoleh penulis akan dianalisis dengan menggunakan metode penafsiran sistematis dan gramatikal. Dari hasil penelitian dengan metode diatas, penulis mendapatkan jawaban atas permasalahan yang ada bahwa diperlukan pembentukan pengaturan oleh PSSI dengan menjalin kerja sama dengan pemerintah yang mengatur secara khusus tentang bentuk badan hukum untuk klub dan mekanisme penggabungan dan pengambilalihan klub sepak bola profesional di Indonesia sehingga memberikan kepastian hukum bagi klub sepak bola sebagai pilar penting dalam perkembangan industri sepak bola. Oleh karena itu, Konstruksi pengaturan yang dapat penulis ajukan berdasarkan peneitian dan analisis terhadap peraturan-peraturan yang ada serta studi perbandingan dengan pengaturan terkait kepemilikan klub sepak bola di Inggris adalah dengan melakukan pembuatan peraturan perundang-undangan yang mewajibkan klub sepak bola profesional hanya berbadan hukum perseroan terbatas karena ada industrialisasi dalam aspek bisnis pada olahraga sepak bola serta peraturan tentang yang ditunjukan kepada pihak yang ingin memiliki suatu klub sepak bola profesional di Indonesia lewat tahapan penggabungan dan pengambilalihan sebagai bentuk pencegahan atas penyelewangan dalam kepengurusan klub itu sendiri ke depannya. Pembuatan peraturan hukum ini dapat menjaga asas sportivitas pada olahraga sepak bola yang sejalan dengan perkembangan kompetisi sepak bola profesional di Indonesia yang sedang menuju industri olahraga yang profesional.
English Abstract
In this thesis, the author raises regulatory issues related to the form of legal entity and the mechanism for the merger and takeover of professional football clubs in Indonesia. There is no legal certainty from legislation or lex sportiva regarding the legal form of a soccer club in Indonesia and special mechanisms related to the merger and takeover of professional football clubs in Indonesia. The legal vacuum related to this matter can tarnish the principle of sportsmanship which is upheld in the realm of sports, especially football at Indonesia which is in the stage towards an advanced and professional industry. Based on this, the problem formulation in writing this thesis is as follows: (1) What is the legal form of professional football clubs in Indonesia and how urgent is the need for regulation? (2) How urgent is the creation of appropriate regulations related to acquisitions and mergers of professional football teams in Indonesia? Then the writing of this thesis uses a normative juridical method with a statutory approach (statue approach), comparative approach (comparative approach). primary, secondary, and tertiary legal materials obtained by the author will be analyzed using systematic and grammatical interpretation methods. From the results of the research using the method above, the author gets an answer to the existing problem that it is necessary to establish a regulation by PSSI by cooperating with the government which specifically regulates the form of legal entity for clubs and the mechanism for merging and taking over professional football clubs in Indonesia so as to provide legal certainty for football clubs as an important pillar in the development of the football industry. Therefore, the regulatory construction that the author can propose based on research and analysis of existing regulations and comparative studies with regulations related to ownership of football clubs in England is to make laws and regulations that require professional football clubs to only be incorporated as a company and regulations on fit and proper tests aimed at parties who want to own a professional football club in Indonesia through the merger and takeover stages as a form of prevention of fraud in the management of the club itself in the future. The making of this legal regulation can maintain the principle of sportsmanship in the sport of soccer which is in line with the development of professional football competitions in Indonesia which is heading towards a professional sports industry.
