Abstract

Sistem perjanjian pendahuluan jual beli adalah rangkaian proses kesepakatan antara setiap orang dengan pelaku pembangunan dalam kegiatan pemasaran yang dituangkan dalam perjanjian pendahuluan jual beli atau perjanjian pengikatan jual beli sebelum ditandatangani akta jual beli. Perjanjian pendahuluan jual beli atau perjanjian pengikatan jual beli tersebut dilakukan terlebih dahulu karena belum terpenuhinya syarat dari penandatanganan akta jual beli. Syarat yang belum terpenuhi tersebut bisa jadi salah satunya adalah terkait legalitas hak atas tanah dari perumahan yang dipasarkan oleh pihak developer. Bisa jadi hak atas tanah dari perumahan yang diperjualbelikan oleh pihak developer bukanlah milik dari developer akan tetapi pihak lain, sehingga harus ada hubungan atau dasar yang jelas antara developer yang memasarkan dengan pihak lain tersebut sehingga ke depannya perjanjian pendahuluan jual beli atau perjanjian pengikatan jual beli yang dilakukan antara developer dengan calon pembeli perumahan tidak bermasalah. Berdasarkan hal tersebut, perlu diteliti lebih lanjut terkait dengan status hukum perjanjian jual beli perumahan yang dilakukan dengan sistem perjanjian pendahuluan jual beli dalam hal sertifikat hak atas tanah belum atas nama developer serta tanggung jawab hukum developer kepada calon pembeli dalam hal sertifikat hak atas tanah yang dilakukan perjanjian pendahuluan jual beli atau perjanjian pengikatan jual beli dengan calon pembeli belum atas nama developer.

English Abstract

The preliminary purchase agreement system is a series of agreement processes between each person and development actors in marketing activities which are outlined in a preliminary purchase agreement or purchase binding agreement before the purchase deed is signed. The preliminary purchase agreement or purchase binding agreement is carried out first because the conditions for signing the purchase deed have not been fulfilled. One of the conditions that have not been fulfilled can be related to the legality of land rights for housing marketed by the developer. It’s possible that the land rights of housing which are being marketed by the developer don’t belong to the developer but to another party, so there must be a clear relationship or basis between the developer who is marketing and the other party, so that in the future a preliminary purchase agreement or purchase binding agreement is carried out between developer and prospective housing buyers is not problematic. Based on this, if the land title certificate is not yet in the developer's name, it’s necessary to investigate further regarding the legal status of housing purchase agreements carried out using a preliminary purchase agreement system as well as the developer's legal responsibility to prospective buyers in the case that the certificate of land rights for which a preliminary purchase agreement or purchase binding agreement has been made with the prospective buyer, is not yet in the name of the developer.
