Abstract

Pada skripsi ini, penulis mengangkat permasalahan pada Perjanjian Kemitraan usaha peternakan ayam broiler dengan pola inti plasma antara PT A dengan V Farm yang terindikasi mengandung unsur persaingan usaha tidak sehat sebagaimana dijelaskan pada Undang-Undang Nomor 5 tahun 1999 Tentang Larangan Praktik Monopoli dan Persaingan Usaha Tidak Sehat. Skripsi ini mengangkat dua rumusan masalah yaitu : (1) Bagaimana analisis yuridis perjanjian kemitraan antara perusahaan inti dengan peternak plasma menurut perspektif Undang-Undang Nomor 5 Tahun 1999 Tentang Larangan Praktik Monopoli dan Persaingan Usaha Tidak Sehat dan Undang-Undang Nomor 20 Tahun 2008 Tentang Usaha Mikro, Kecil, dan Menengah? (2) Bagaimana substansi perjanjian kemitraan yang ideal antara perusahaan inti dengan peternak plasma menurut perspektif persaingan usaha yang sehat dan prinsip kemitraan? Berdasarkan hasil penelitian, klausul pada poin ke 6 perjanjian kemitraan ini melanggar Pasal 35 ayat (1) Undang-Undang Nomor 20 Tahun 2008 Tentang Usaha Mikro, Kecil, dan Menengah. Pelanggaran yang dilakukan oleh PT A pada perjanjian ini merupakan pelanggaran berupa penguasaan terhadap UMKM. Maka dapat diketahui bahwa perjanjian kemitraan yang ideal seharusnya dilaksanakan sesuai prinsip kemitraan UMKM serta harus memenuhi semua syarat sah perjanjian dan melaksanakan tujuan dari dibentuknya Undang-Undang Nomor 5 Tahun 1999 Tentang Larangan Praktik Monopoli dan Persaingan Usaha Tidak

English Abstract

This research studies the issue regarding a business partnership agreement between broiler chicken breeding with core plasma between Company A and V Farm indicating unfair business competition as explained in Law Number 5 of 1999 concerning Bans on Monopolistic Practices and Unfair Business Competition. Departing from the above issue, this research seeks to investigate (1) the juridical analysis of the partnership between the core company and the plasma breeder according to the perspective of Law Number 5 of 1999 concerning Bans on Monopolistic Practices and Unfair Business Competition and Law Number 20 of 2008 concerning Micro, Small, and medium Enterprises and (2) the substance of an ideal partnership agreement between the core company and plasma breeder seen from the perspective of unfair business competition and partnership principle. The research result reveals that clause number 6 in the partnership agreement violates Article 35 paragraph (1) of Law Number 20 of 2008 concerning Micro, Small, and Medium Enterprises. The violation committed by Company A involves control over the MSMEs. The partnership agreement should, therefore, be performed according to the principle of the partnership of the MSMEs, meet the valid requirement of an agreement, and execute the objectives outlined in Law Number 5 of 1999 concerning Bans on Monopolistic Practices and Unfair Business Competition.
