Abstract
Penelitian ini membahas terkait eksistensi joint venture terhadap larangan perjanjian penetapan harga yang dikecualikan secara mutlak berdasarkan ketentuan Pasal 5 Undang – Undang Nomor 5 Tahun 1999 tentang Praktik Monopoli dan Persaingan Usaha Tidak Sehat. Isu ini diangkat karena keberadaan joint venture yang ditujukan untuk adanya efisiensi dalam mendukung berjalannya suatu kompetisi malah muncul sebagai joint venture yang bersifat anti-kompetisi dimana hanya mengutamakan keuntungan bagi perusahaan induk yang bersepakat untuk membentuk suatu joint venture company. Namun, pada pengaturan di Indonesia joint venture justru dikecualikan dari larangan perjanjian penetapan harga secara mutlak yang mana tidak memuat ketentuan dan persyaratan khusus untuk joint venture menikmati fasilitas pengecualian tersebut. Sehingga, muncul ketidaktepatan norma dalam pengecualian joint venture dalam hukum persaingan usaha di Indonesia. Kemudian rumusan masalah yang diangkat dalam penelitian ini adalah terkait analisis pengecualian joint venture terhadap larangan perjanjian penetapan harga yang membahas ratio legis dikecualikan secara mutlak, urgensi pengecualian secara bersyarat hingga pada alasan ketidaktepatan norma tersebut. Selain itu, penelitian ini juga membahas rumusan masalah terkait konsep pengaturan terkait pengecualian joint venture secara bersyarat melalui studi perbandingan yang dilakukan dengan hukum persaingan usaha Australia. Penelitian ini merupakan penelitian hukum normatif, yang pada penulisannya menggunakan beberapa pendekatan seperti pendekatan perundang – undangan, pendekatan konseptual, pendekatan komparatif, serta pendekatan kasus. Adapun bahan hukum yang digunakan oleh penulis adalah bahan hukum primer, sekunder dan tersier yang dianalisis menggunakan metode interpretasi gramatikal, sistematis, teleologis, dan perbandingan hukum
English Abstract
This study discusses the existence of a joint venture against the ban on price fixing agreements which are absolutely exempted based on the provisions of Article 5 of Law No. 5 of 1999 concerning Monopolistic Practices and Unfair Competition. This issue was raised because the existence of a joint venture aimed at efficiency in supporting the running of competition instead emerged as an anti-competitive joint venture where only prioritizing profits for the parent company agreed to form a joint venture company. However, in the regulations in Indonesia, the joint venture is absolutely exempted on price fixing agreements prohibition which do not contain several terms and conditions for the joint venture to enjoy the exemption facility. Thus, there is an inaccuracy in the norm with the exception of joint ventures in competition law in Indonesia. Then the research problems raised in this study are related to the analysis of joint venture exceptions on the ban on price fixing agreements in which discussing about the legal ratio on the absolute exemption of joint venture towards the ban of price fixing agreement in Indonesia, the urgency of conditional exemption implementation towards joint venture, and the reason of the norm inaccuracy itself. In addition, this study also involves a research problem related to the regulatory concept regarding conditional joint venture exemptions through a comparative study conducted with Australian competition law. This research is normative legal research, which in its writing uses several approaches such as statutory approaches, conceptual approaches, comparative approaches, and case approaches. The legal materials used by the author are primary, secondary, and tertiary legal materials which are analyzed using grammatical, systematic, teleological, and comparative legal interpretation methods.
