Abstract

Penulisan skripsi ini berangkat dari permasalahan terkait adanya ketidaksesuaian ( insyncronization) atas norma hukum yang diatur oleh Pasal 5 ayat (2) Peraturan Pemerintah Nomor 54 Tahun 2017 tentang Badan Usaha Milik Daerah (PP 54/2017) dengan ketentuan Pasal 2 ayat (2) POJK 56/POJK.03/2016 berkaitan dengan besaran kepemilikan saham pada Bank Pembangunan Daerah (BPD) oleh Pemerintah Daerah. Mengingat adanya ketidaksesuaian tersebut, pemerintah seharusnya dapat memberikan kejelasan mengenai kepemilikan saham Pemerintah Daerah pada BPD. Berdasarkan hal tersebut, maka dalam hal ini penulis merumuskan 2 (dua) rumusan masalah yang ada yakni: 1) Apa Implikasi Yuridis Terkait Adanya Inkonsistensi Pengaturan Mengenai Batasan Kepemilikan Saham Bagi Bank Pembangunan Daerah (BPD) Yang Didirikan Oleh Pemerintah Daerah? Dan; 2) Bagaimana Reformulasi Pengaturan Batasan Kepemilikan Saham Oleh Pemerintah Daerah Pada Bank Pembangunan Daerah Yang Berkepastian Hukum? Penulisan skripsi ini dilakukan dengan menggunakan metode penelitian yuridis normatif serta menggunakan pendekatan Peraturan Perundang-Undangan (Statute approach) dan Pendekatan Konseptual (Conceptual approach). Berdasarkan pada hasil analisis penulis terhadap kedua rumusan masalah yang ada, maka dalam hal ini dapat ditarik suatu kesimpulan yakni, Implikasi yuridis terkait adanya inkonsistensi pengaturan mengenai batasan kepemilikan saham bagi BPD yang didirikan oleh Pemerintah Daerah adalah dalam hal ini terhadap pemberlakuan batasan maksimum kepemilikan saham sebagaimana yang diatur oleh ketentuan Pasal 2 ayat (2) POJK 56/POJK.03/2016 dalam hal ini tidak demi hukum mengikat kepada BPD yang telah berbentuk Perseroan Terbatas. Sementara itu, reformulasi pengaturan batasan kepemilikan saham oleh Pemerintah Daerah pada BPD yang berkepastian hukum dapat dilakukan dengan cara penambahan klausul pada ketentuan Pasal 5 Peraturan Pemerintah Nomor 54 Tahun 2017 tentang Badan Usaha Milik Daerah

English Abstract

The writing of this thesis departs from problems related to the existence of incompatibility (insyncronization) of legal norms regulated by Article 5 paragraph (2) Government Regulation Number 54 of 2017 concerning Regional Owned Enterprises (PP 54/2017) with the provisions of Article 2 paragraph (2) POJK 56/ POJK.03/2016 relating to the amount of share ownership in the Regional Development Bank (BPD) by the Regional Government. Given this mismatch, the government should be able to provide clarity regarding Regional Government share ownership in the BPD. Based on this, in this case the author formulates 2 (two) formulations of the existing problems, namely: 1) What are the juridical implications of inconsistencies regarding share ownership limits for regional development banks (BPD) established by local governments? And; 2) How the Reformulation of Restrictions on Share Ownership by Regional Governments in Regional Development Banks with Legal Certainty? The writing of this thesis is carried out using the normative juridical research method and using the statutory approach and the conceptual approach. Based on the results of the author's analysis of the two existing problem formulations, in this case a conclusion can be drawn, namely, the juridical implication of the inconsistencies in the regulation regarding share ownership limits for BPDs established by the Regional Government, in this case the application of the maximum limit of share ownership as which is regulated by the provisions of Article 2 paragraph (2) POJK 56/POJK.03/2016 in this case is not legally binding on a BPD that has been in the form of a Limited Liability Company. Meanwhile, reformulation of share ownership limits by Regional Governments at BPDs with legal certainty can be carried out by adding a clause to the provisions of Article 5 of Government Regulation Number 54 of 2017 concerning Regional Owned Enterprises
