Abstract
Persaingan suatu bisnis secara global menuntut perusahaan untuk mengantisipasi adanya resiko bisnis dengan mempertimbangkan peluang dan ancaman yang akan datang. Tingkat persaingan bisnis yang semakin ketat mengharuskan perusahaan untuk dapat mengelola perusahaannya secara optimal dan profesional. Pengelolaan secara optimal dan profesional dapat dilakukan dengan penerapan corporate governance yang baik. Penerapan corporate governance juga memiliki pengaruh terhadap nilai suatu perusahaan. Penelitian ini bertujuan untuk menguji dan menganalisis pengaruh corporate governance terhadap nilai perusahaan. Corporate governance diukur melalui kepemilikan institusional, kepemilikan manajerial, proporsi dewan komisaris independen, ukuran dewan komisaris, keberadaan dewan komisaris wanita, ukuran direksi dan ukuran komite audit sebagai variabel bebas dalam penelitian ini, sedangkan nilai perusahaan diukur dengan Tobin’s Q sebagai variabel terikat. Jenis penelitian ini adalah penelitian eksplanatif dengan pendekatan kuantitatif. Populasi yang digunakan dalam penelitian ini adalah perusahaan yang meraih penghargaan IICD (Indonesian Institute for Corporate Director) corporate governance conference & award tahun 2014-2019 dan diperoleh 12 perusahaan yang memenuhi kriteria sampel dengan menggunakan teknik purposive sampling. Analisis data yang digunakan dalam penelitian ini adalah analisis statistik deskriptif dan statistik inferensial dengan uji asumsi klasik, analisis linear berganda, uji koefisien determinasi dan uji hipotesis serta diolah dengan menggunakan program SPSS 20. Hasil penelitian secara parsial menunjukkan bahwa proporsi dewan komisaris independen, ukuran dewan komisaris dan keberadaan dewan komisaris wanita berpengaruh terhadap nilai perusahaan, sedangkan kepemilikan institusional, kepemilikan manajerial, ukuran direksi dan ukuran komite audit tidak berpengaruh terhadap nilai perusahaan. Hasil penelitian secara simultan menunjukkan bahawa kepemilikan institusional, kepemilikan manajerial, proporsi dewan komisaris independen, ukuran dewan komisaris, keberadaan dewan komisaris wanita, ukuran direksi dan ukuran komite audit berpengaruh terhadap nilai perusahaan.
English Abstract
Global business competition requires companies to anticipate business risks by considering the opportunities and threats that will come. The increasing level of business competition requires companies to be able to manage their companies optimally and professionally. Optimal and professional management can be carried out by implementing good corporate governance. The implementation of corporate governance also has an influence on the firm value. This study aims to examine and analyze the influence of corporate governance corporate on firm value. Corporate governance is measured by institutional ownership, managerial ownership, the proportion of independent board of commissioners, size of the board of commissioners, the presence of women board of commissioners, the size of the board of directors and the size of the audit committee as independent variables in this study, while the firm value is measured by Tobin's Q as the dependent variable. This type of research is explanative research with a quantitative approach. The population used in this study were companies that won the IICD (Indonesian Institute for Corporate Director) corporate governance conference & award 2014-2019 and obtained 12 companies that met the sample criteria using purposive sampling technique. Data analysis used in this research is descriptive statistical analysis and inferential statistics with classical assumption test, multiple linear analysis, determination coefficient test and hypothesis testing and processed using the SPSS 20 program. The results of this study partially indicate that the proportion of independent boards of commissioners, board size The board of commissioners and the presence of a female board of commissioners can affect the firm value, while institutional ownership, managerial ownership, size of the board of directors and the size of the audit committee have no effect on the firm value. The results of the research simultaneously show that institutional ownership, managerial ownership, the proportion of independent commissioners, size of the board of commissioners, the presence of female commissioners, the size of the board of directors and the size of the audit committee have an effect on the firm value.
