Abstract

"Perumda adalah badan usaha milik daerah yang seluruh modalnya dimiliki oleh satu daerah dan tidak terbagi atas saham. Namun dalam pelaksanaannya, Perumda BPR X memiliki saham minoritas yang dimiliki oleh perorangan. Sehingga saya meneliti akibat hukum kepemilikan saham oleh perorangan dalam BPR X berbentuk Perumda dan apa upaya hukum pemerintah daerah jika terdapat kepemilikan saham oleh perorangan dalam BPR X berbentuk Perumda. Penelitian ini merupakan penelitian yuridis normatif menggunakan Pendekatan Perundang-Undangan, Pendekatan Kasus, dan Pendekatan Historis. Hasil penelitian disimpulkan bahwa akibat hukum kepemilikan saham oleh perorangan dalam BPR X berbentuk Perumda adalah kedudukan BPR X menjadi tidak sah dan menimbulkan akibat hukum bagi pemilik saham minoritas untuk mendapatkan perlindungan hukum. Kemudian, upaya pemerintah daerah jika terdapat kepemilikan saham milik perorangan dalam BPR X berbentuk Perumda dapat dilakukan dengan cara non litigasi seperti konsultasi ataupun negosiasi untuk pengambilalihan saham.

English Abstract

The writing of this minor thesis departs from the existing problems regarding the legal consequences of ownership by individuals in a People's Credit Bank in the form of a Regional Public Enterprises (Perumda). Perumda is a regionally owned business entity whose entire capital is owned by one region and is not divided into shares. BPR X, which was formerly a Regional Enterprises (PD), has adjusted its legal form to become a Regional Public Enterprises (Perumda). However, BPR X, which adjusted its legal form to Perumda, still had a problem, namely the existence of minority shares owned by individuals that had not been resolved when the Perda which established Perumda BPR X was passed. Based on the problem that have been explained. Writer draws 2 (two) research problems, which in this case are used as a limitation in the writing of this thesis. The two research problems are: 1) What are the legal consequences of ownership of shares by individuals in Rural Bank (BPR) X in the form of Regional Public Enterprises? And; 2) What is the legal remedy for the regional government if there is share ownership by individuals in a Rural Bank (BPR) X in the form of a Regional Public Enterprises? To be able to answer these two research problems, Writer examined the research using a normative juridical research method and by using a statute approach, and case approach. From the analysis conducted by the writer to answer the research problem, a conclusion can be drawn. The conclusion is that the legal consequences arising from the ownership of individual shares in a Rural Bank (BPR) in the form of a Regional Public Enterprises can be seen from the legal consequences for the establishment of the Rural Bank (BPR) and the existence of a lawsuit or attempt non-litigation law from owners / heirs of minority shares in BPR X. Furthermore, local government legal action if there is individual ownership of shares in a people's credit bank in the form of a regional company that carries out non-litigation legal remedies by way of consultation or negotiation for share acquisition BPR X by buying minority shares owned by individuals.
