Abstract
perjanjian kerjasama pengadaan bahan bakar minyak antara PT. X dengan distributor penyedia bahan bakar minyak. Berdasarkan klausul dalam perjanjian dengan konfirmasi dari Supervisor Legal Corporate dari PT. X, adanya indikasi yang tidak proporsional pada perjanjian, yaitu pada tahap pembentukan, adanya klausul yang belum dirumuskan pada substansi dalam perjanjian tersebut mengenai tanggung jawab para pihak sehingga menjadi tidak adil bagi pihaknya. Namun saat PT. X melakukan negosiasi terkait hal tersebut, tidak tercapai suatu kesepakatan, tetapi PT. X harus tetap menyepakati perjanjian tersebut tanpa adanya penambahan klausul yang dimaksud karena keadaan yang mendesak. Permasalahan tersebut diatas adalah permasalahan kesesuaian asas proporsionalitas dalam pembentukan perjanjian tersebut. Oleh karena itu, peneliti ingin meneliti apakah dalam tahap pembentukan serta klausul- klausul perjanjian kerjasama pengadaan bahan bakar minyak antara PT. X dengan distributor tersebut telah sesuai dengan asas proporsionalitas. Penelitian yang penulis teliti adalah yuridis normatif yang dimana penelitian ini memiliki fokus untuk untuk mengidentifikasi, mendeskripsikan, dan menganalisis mengenai asas proporsionalitas dalam pembentukan perjanjian kerjasama pengadaan bahan bakar minyak antara PT. X dengan distributor. Pendekatan penelitian yang penulis gunakan adalah Pendekatan Perundangundangan (Statute Approach) dan Pendekatan Perbandingan (Comparative Approach). Bahan hukum primer pada penelitian ini adalah Perjanjian Kerjasama Pengadaan Bahan Bakar Minyak PT. X; Buku Ketiga BAB I, II, dan V Kitab Undang-Undang Hukum Perdata; dan BAB III Tentang Hak dan Kewajiban (Pasal 4, 5, 6, dan 7) Undang-Undang Nomor 8 Tahun 1999 Tentang Perlindungan Konsumen. Teknik penelusuran bahan hukum pada penelitian ini adalah melakukan studi kepustakaan atau library research. Teknik analisis bahan hukum yang dilakukan oleh peneliti adalah Interpretasi Sistematis. Hasil dari penelitian ini adalah bahwa pembentukan perjanjian serta pertukaran hak dan kewajiban dalam perjanjian kerjasama pengadaan bahan bakar minyak antara PT. X dengan distributor tidak sesuai dengan asas proporsionalitas karena adanya penyalahgunaan keadaan dalam pembentukan perjanjian dan adanya uncompleted norm pada klausul-klausul perjanjian menyebabkan ketidaksesuaian dengan asas proporsionalitas. Hasil dari penelitian tersebut menunjukkan pentingnya kesadaran untuk memenuhi asas proporsionalitas dalam membentuk perjanjian yang dapat dilaksanakan oleh berbagai pihak, baik pihak yang mengawasi pembentukan perjanjian, pihak yang menerbitkan perjanjian, maupun pihak yang menjadi subjek perjanjian dalam perjanjian.
English Abstract
In this study, the author raises the legal problem in a cooperation agreement of fuel oil procurement between PT. X and the distributor of fuel oil. Based on the clauses in the agreement, with the confirmation from the Supervisor Legal Corporate from PT. X, there was a disproportionate indication in the agreement that was at the stage of establishing the agreement. In this stage, there was a clause that had not been formulated in the substance of the agreement related to the responsibilities of the parties so that it became unfair for his party. However, when PT. X tried to negotiate this problem, no agreement was reached. Ultimately, PT. X had to continue to accept the agreement without the addition of clause due to urgent circumstances The problem mentioned above was the issue of the suitability of the principle of proportionality in the establishment of the agreement. Therefore, the author wanted to examine whether the establishment stage and the clauses in the agreement between PT. X with the distributor were in accordance with the principle of proportionality. This study was a normative juridical which focused on identifying, describing, and analyzing the principle of proportionality in the establishment of cooperation agreement between PT. X with the distributor of fuel oil. The research approaches used were Statutory Approach and Comparative Approach. The primary legal materials in this study were Cooperation Agreement of Fuel Oil Procurement in PT.X; The Third Book Chapters I, II and V of the Indonesian Civil Code; and CHAPTER III concerning Rights and Obligations (Articles 4, 5, 6, and 7) of Act Number 8 of 1999 concerning Consumer Protection. The technique of tracing legal materials in this research was library research. The legal material analysis technique used by researchers was Systematic Interpretation. The results of this study showed that the establishment of agreements and the exchange of rights and obligations in the cooperation agreement of fuel oil procurement between PT. X and the distributor were not in accordance with the principle of proportionality since there was a misuse of conditions in the establishment of the agreement. Also, the existence of uncompleted norm in the agreement clauses made the agreement incompatible with the principle of proportionality. The result of the study indicates that the fulfillment of principle of proportionality is important especially in the establishment of cooperation agreements. It should be implemented by various parties namely those who oversee the establishment of the agreement, those who issue the agreement, and those who are the subjects in the agreement.
