Abstract
Perseroan Terbatas dalam menjalankan usahanya membutuhkan investor maka dapat dibuat perjanjian investasi diantara mereka, namun dalam perjalanannya sengketa dapat juga timbul, salah satunya sengketa yang terjadi diantara PT. CTPI dengan PT. BKB dalam hal pengalihan saham PT. CTPI dan penyelesaian sengketanya dengan klausula arbitrase telah disepakati dalam investment agreement, akan tetapi dalam penyelesaian sengketa terdapat pertentangan mengenai pokok sengketa dan lembaga yang berwenang menyelesaikannya, metode yang digunakan dalam kajian ini adalah metode penelitian hukum normatif, perkara ini telah diputus oleh Pengadilan Negeri berdasarkan Putusan Nomor 10/PDT.G/2010/PN.JKT dengan menyatakan bahwa sengketa ini bukan merupakan pelaksanaan investment agreement sehingga bukan merupakan kewenangan BANI untuk menyelesaikannya, kemudian Putusan ini dikuatkan sampai tingkat peninjauan kembali di Mahkamah Agung berdasarkan Putusan Nomor 238PK/PDT/2014 sedangkan dalam tingkat banding, Hakim memutuskan bahwa ini merupakan sengketa mengenai pelaksanaan investment agreement dan merupakan kewenangan BANI untuk menyelesaikannya. Berdasarkan kajian yang dilakukan dalam tulisan ini, diperoleh jawaban seharusnya Hakim pada Pengadilan Negeri dan Mahkamah Agung tidak mengabaikan kekuatan mengikat investment agreement dan menghormati perjanjian yang telah dibuat berdasarkan teori keadilan sebagai landasan dalam berkontrak dan lembaga yang berwenang dalam menyelesaikan sengketa ini adalah Badan Arbitrase Nasional Indonesia.
English Abstract
Limited Liability Company requires investors to keep the business running, and this effort is closely related to the agreement that has to be made between the parties involved. However, it does not guarantee that it will be dispute-free. The disputebetween PT. CTPI and PT. BKB over share transfer of PT CTPI took arbitration clause that is agreed on investment agreement, but in the process of the settlement, there is another conflict concerning the dispute principles and the agency authorised to settle the dispute. This research was conducted based on normative legal method. This case is based on the Decision of District Court Number 10/PDT.G/2010/PN.JKT stating that this dispute is not related to the execution of investment agreement, meaning that this is out of the authority of Indonesian National Arbitration Agency (further stated as BANI) to settle the dispute. Judicial review took place in Supreme Court concerning this case according to Decision Number 238PK/PDT/2014. When this case was brought to appeal, the judges decided that this dispute was related to investment agreement and it was decided that it was supposed to be under the authority of BANI to settle the dispute. Based on the research findings, the research result suggests that judges of District Court and Supreme Courtshould not overlook the binding force in investment agreement and respect the agreement made based on the justice theory as a fundamental in contract and BANI is authorised to settle the dispute.
