Abstract
Pada skripsi ini penulis mengangkat permasalahan Penerapan Prinsip Keterbukaan dan Mitigasi Resiko pada equity crowdfunding di Indonesia. Pilihan tema tersebut dilatar belakangi kebutuhan hukum kegiatan equity crowdfunding sebagai sarana pendanaan usaha industri kreatif non bank dengan media saham sebagai investasi yang sudah membantu banyak usaha-usaha di luar negri. Namun di Indonesia sendiri belum memiliki peraturan khusus mengenai equity crowdfunding tentang bagaimana prinsip keterbukaan dan mitigasi resikonya. Berdasarkan hal tersebut diatas, penelitian ini mengangkat rumusan masalah: (1) Bagaimana Tinjauan Yuridis Prinsip Keterbukaan pada equity crowdfunding di Indonesia? (2) Bagaimana Tinjauan Yuridis Mitigasi Resiko pada equity crowdfunding di Indonesia ? Kemudian penelitian ini menggunakan metode yuridis normatif dengan metode pendekatan perundang-undangan (statue approach) dan pendekatan konseptual (conseptual approach). Bahan hukum primer, sekunder, dan tersier yang diperoleh penulis akan dianalisis dengan menggunakan penafsiran gramatikal, sistematis, historis, komparatif dan futuristik. Dari hasil penelitian dengan metode di atas, penulis memperoleh jawaban atas permasalahan yang ada bahwa beberapa prinsip keterbukaan yang ada di pasar modal serta prinsip GCG masih cukup relevan untuk di terapkan pada equity crowdfunding dengan mempertimbangkan model investasi equity crowdfunding serta tanggung jawab para pihak untuk menyampaikan informasi secara terbuka. Selain itu mitigasi resiko atau perlindungan hukum preventif dapat tercapai apabila para pihak dengan jelas mengetahui hal yang menjadi hal dan kewajiban mereka setelah diatur dalam peraturan khusus yang juga membantu OJK dalam menjalankan tugas pengawasan.
English Abstract
In this thesis the authors raise the issue of the Application of the Principle of Openness and Risk Mitigation on equity crowdfunding in Indonesia. The choice of the theme is based on the legal need of equity crowdfunding activities as a means of funding non-bank creative industry businesses with stock media as an investment that has helped many businesses abroad. However, in Indonesia alone there is no specific regulation regarding equity crowdfunding on how the principles of openness and mitigation risk. Based on the above, this research raises the formulation of the problem: (1) how is the juridical review of the principle of openness on equity crowdfunding in Indonesia? (2) how is the juridical review of risk mitigation on equity crowdfunding in Indonesia? Then this study uses a normative juridical method with a statutory approach method (statue approach) and a conceptual approach (conseptual approach). Primary, secondary, and tertiary legal materials obtained by the author will be analyzed using grammatical, systematic, historical, comparative and futuristic interpretations. From the results of the research with the above method, the author obtains answers to the existing problems that some of the principles of openness in the capital market and the principles of GCG are still quite relevant to be applied to equity crowdfunding by considering equity crowdfunding investment models and the parties' responsibility to convey information openly. In addition, risk mitigation or preventive legal protection can be achieved if the parties clearly know what matters and their obligations after being regulated in a special regulation that also helps OJK in carrying out supervisory duties.
