Abstract
Tata kelola perusahaan yang baik atau GCG merupakan sistem yang berisi pengendalian usaha melalui fungsi pengawasan, pengatur dan pengelola dengan struktur hubungan yang jelas antar stakeholders untuk mencapai tujuan perusahaan tanpa mengesampingkan kepentingan stakeholders. Tata kelola perusahan profesional sudah mulai diimplementasikan dalam perusahaanperusahaan di Indonesia, karena melalui konsep yang menyangkut struktur perseroan, yang terdiri dari unsur-unsur RUPS, direksi dan komisaris dapat terjalin hubungan dan mekanisme kerja, pembagian tugas, kewenangan dan tanggung jawab yang harmonis, baik secara intern maupun ekstern dengan tujuan meningkatkan nilai perusahaan demi kepentingan shareholders dan stakeholders. Penelitian ini merupakan penelitian kualitatif dengan pendekatan deskriptif yang dibatasi dengan fokus penelitian, yaitu: (1) Pengelolaan BUMN berbasis GCG, (2) Hasil pengelolaan BUMN berbasis GCG. Lokasi penelitian ini berada di Kota Surabaya dengan situs penelitian di PT. Pelindo III Persero. Penelitian ini menggunakan analisis data model interaktif Miles, Huberman, dan Saldana yang melalui empat tahap yaitu koleksi data, kondensasi data, penyajian data, dan menarik kesimpulan/verifikasi. Hasil dari penelitian menunjukkan bahwa pengelolaan BUMN berbasis GCG dan aspek fungsi pengelolaan cukup baik. Penerapan GCG telah dilakukan memenuhi transparansi, akuntabilitas, responsibilitas, independensi, dan keadilan. Hasil pengelolaan BUMN berbasis GCG yang diterapkan berdasar SOP dan dijadikan acuan dalam kinerja operasional perusahaan menjadikan perusahaan yang terorganisir dan meningkatnya reputasi serta profitabilitas perusahaan. Belum jelasnya status transparansi perpanjangan kontrak Terminal Peti Kemas Surabaya dengan Dubai Port World, maka diperlukan beberapa kajian dari para ahli sebagai rekomendai untuk BUMNdalam mengambil keputusan
English Abstract
Good corporate governance or GCG is a system that contains business control through supervisory, regulatory and managerial functions with a clear structure of relationships among stakeholders to achieve corporate objectives without prejudice to the interests of stakeholders. Professional corporate governance has begun to be implemented in companies in Indonesia, because through the concept of the company structure, consisting of elements of GMS, board of directors and commissioners can be established relations and mechanism of work, division of tasks, authority and responsibility are harmonious, both internally and externally with the aim of increasing the value of the company for the benefit of shareholders and stakeholders. This research is a qualitative research with descriptive approach which is limited with the focus of research, that is: (1) Management of GCG-based SOE, (2) Result of GCG-based SOE management. The location of this research was in Surabaya with research site at PT. Pelindo III Persero. This research uses interactive data model analysis Miles, Huberman, and Saldana through four stages: data collection, data condensation, data presentation, and drawing conclusion / verification. The results of the research indicate that the management of SOEs based on GCG and management function aspect is quite good. The implementation of GCG has been done to meet transparency, accountability, responsibility, independence, and fairness. The results of the management of GCG-based SOEs that are implemented based on the SOP and used as a reference in the operational performance of the company make the company organized and the increasing reputation and profitability of the company. Unclear status of transparency of contract extension of Container Terminal Surabaya with Dubai Port World, hence needed some study from experts as recommendation for BUMN in making decision
