Abstract
Kegagalan berskala besar, skandal-skandal keuangan dan krisis-krisis ekonomi di berbagai negara telah memusatkan perhatian kepada pentingnya corporate governance. Kondisi BUMN (Badan Usaha Milik Negra) yang ada di Indonesia yang mengalami keterpurukan baik segi pelayanan maupun sistem yang ada di internal BUMN itu sendiri menekan pemerintah untuk mengeluarkan kebijakan yang dapat menyelamatkan BUMN. Sehingga keluarlah Peraturan Menteri BUMN Nomor: PER-01/MBU/2011 tentang penerapan tata kelola perusahaan yang baik (Good Corporate Governance) yang selanjutnya di sebut GCG. Dimana sistem GCG ini memiliki lima prinsip yaitu transparansi, akuntabilitas, responsibility, Independensi, dan kewajaran. Prinsip-prinsip ini juga diatur dan diterjemahkan oleh KNKG (Komisi Nasional Kebijakan Governance) yang dimana di setiap prinsip GCG memiliki indikator masing-masing. Dalam penelitian ini penulis menggunakan jenis penelitian kualitatif dengan pendekatan deskriptif. Untuk mempermudah peneliti dalam melaksanakan penelitian, dilakukan metode pengumpulan data melalui wawancara, observasi dan pemanfaatan data sekunder dan data primer sebagai pendukung informasi. Data sekunder diperoleh dari Laporan Pelaksanaan GCG tahun 2009 maupun tahun 2013 oleh PT. TELKOM. Sedangkan data primer diperoleh dari wawancara dan observasi. Dari hasil penelitan dijelaskan bahwa PT. TELKOM sudah berupaya dalam menjalankan prinsip Good Corporate Governance khususnya kelima prinsip GCG yaitu Transparansi, Akuntabilitas, Responsibilitas, Independensi, dan kewajaran dan kesetaraan. Untuk prinsip Transparansi PT. TELKOM mengupayakan melalui website dan RUPST (rapat Umum Pemegang Saham Tahunan). Akuntabilitas diupayakan melalui Jobdescription dan pengawasan dari komite audit. Responsibilitas diupayakan oleh departemen CDC (community Decelopment Center) dengan program Kemitraan dan Bina Lingkungan. Independensi diupayakan melalui Audit internal dan Jobdescription yang sudah dijalankan secara profesional. Kewajaran dibuktikan dengan adanya Rapat Umum Pemegang Saham Tahunan (RUPST) dimana hak suara pemegang saham dianggap sama dan juga dengan adanya erecruitment. Dalam pelaksanaan kebijakan GCG PT. TELKOM akan lebih maksimal jika sosialisasi secara berkala selalu diberikan kepada seluruh komponen karyawan untuk menyatukan pemahaman kembali terkait prinsip GCG ini. Sosialisasi ke lingkungan sekitar juga dianggap perlu untuk kelancaran jalannya program-program PT. TELKOM sesuai dengan prinsip GCG
English Abstract
Large-scale failures, financial scandals and economic crisis, crisis in different countries have focused their attention to the importance of corporate governance. State-OWNED ENTERPRISES (owned enterprises country) in Indonesia, which suffered a slump both in terms of service and the existing system in STATE-OWNED ENTERPRISES internal itself pressing Governments to issue policies that could save STATE-OWNED ENTERPRISES. So out came the SOE Minister Regulation number: PER-01/MBU/2011 about the application of good corporate governance (Good Corporate Governance) here in after called GCG. Where it has five GCG system principles namely transparency, accountability, responsibility, Independency, and fairness. These principles also arranged and translated by KNKG (National Commission of Policy Governance) that where in any principles of GCG have indicators respectively. In this study the author uses this type of qualitative research with the descriptive approach. To facilitate researchers in conducting research, data collection method is done through interviews, observation and utilization of primary data and secondary data as supporting information. The secondary Data were obtained from the report of the implementation of GCG in 2009 and 2013 by PT. TELKOM. While the primary data obtained from interviews and observations. From the results of the study explained that PT. TELKOM has been sought in carrying out the principles of Good Corporate Governance principles of GCG is fifth in particular transparency, accountability, corporate responsibility, Independency, and fairness and equality. To the principle of transparency of the PT. TELKOM made through the website and the AGM (Annual General meeting of shareholders). Accountability attempted through Jobdescription and supervision of the audit committee. Corporate responsibility Department attempted to CDC (Community Decelopment Center) with program Kemitraan dan Bina Lingkungan. The independence of the internal Audit and attempted through the Jobdescription already running professionally. Reasonableness is evidenced by the presence of Annual general meeting of shareholders (RUPST) where the voting rights of shareholders are considered the same and also by the existence of e-recruitment. In the implementation of corporate governance policies PT. TELKOM will be maximal if socialization is always given periodically to all employees of the components related to unify understanding of GCG's back. Socialization to the surrounding environment is also considered necessary for the smooth running of programs in accordance with the principles of good corporate governance PT. TELKOM.
