Abstract

Pada skripsi ini, penulis mengangkat sebuah permasalahan mengenai dualisme pengaturan syarat pengisian direksi Badan Usaha Milik Daerah dalam Peraturan Menteri Dalam Negeri Nomor 37 tahun 2018 dengan Peraturan Otoritas Jasa Keuangan Nomor 55 Tahun 2016, yakni mengenai syarat pengisian dan mekanisme pemilihan direksi. Pilihan tema tersebut didasari oleh adanya dua peraturan yang saling tumpang tindih atau menimbulkan kontradiksi norma yang saling bertolak belakang. Berdasarkan Peraturan Menteri Dalam Negeri dijelaskan bahwa syarat untuk dapat diangkat menjadi Direksi Badan Usaha Milik Daerah yaitu harus memiliki usia minimal 35 tahun dan maksimal berusia 55 tahun pada saat pendaftaran (Pasal 35 H Peraturan Menteri Dalam Negeri Nomor 37 tahun 2018), namun disisi lain didalam peraturan OJK Nomor 33 tahun 2014 yang dapat dilihat di Pasal 4 dimana tidak mewajibkan adanya persyaratan mengenai usia direksi pada saat pendaftaran. Permasalahan mengenai pemilihan direksi BUMD, jika dilihat lebih dalam Peraturan OJK Nomor 55 tahun 2016 terletak didalam Pasal 27 ayat 1 dijelaskan bahwa mekanisme pemilihan direksi dilakukan oleh Komite Remunerasi dan Nominasi (KORENO), tetapi hal ini berbanding terbalik apabila kita melihat pada Pasal 1 angka 17 Peraturan Menteri Dalam Negeri Nomor 37 tahun 2018 didalam Pasal tersebut tertulis bahwa panitia seleksi dibentuk untuk melakukan seleksi Bakal Calon Anggota Dewan Pengawas atau anggota Komisaris dan Bakal Calon anggota Direksi sampai pengangkatan oleh KPM atau RUPS.

English Abstract

In this thesis, the author raises an issue regarding the dualism of regulating the requirements for filling in directors of Regional Owned Enterprises in the Minister of Home Affairs Regulation Number 37 of 2018 with the Financial Services Authority Regulation Number 55 of 2016, namely regarding the filling requirements and the mechanism for selecting directors. The choice of theme is based on the existence of two regulations that overlap or create contradictory norms that contradict each other. Based on the Regulation of the Minister of Home Affairs it is explained that the requirements for being appointed as a Director of a Regional Owned Enterprise are that they must have a minimum age of 35 years and a maximum age of 55 years at the time of registration (Article 35 H of Minister of Home Affairs Regulation Number 37 of 2018), but on the other hand in OJK regulation Number 33 of 2014 which can be seen in Article 4 which does not require requirements regarding the age of directors at the time of registration. The problem regarding the selection of BUMD directors, if you look more closely at OJK Regulation Number 55 of 2016, is contained in Article 27 paragraph 1, it is explained that the mechanism for selecting directors is carried out by the Remuneration and Nomination Committee (KORENO), but this is inversely proportional if we look at Article 1 number 17 Minister of Home Affairs Regulation Number 37 of 2018 in this article it is written that a selection committee is formed to select Candidates for Supervisory Board Members or members of the Board of Commissioners and Prospective members of the Board of Directors until appointment by KPM or RUPS.
