Abstract

Pada skripsi ini peneliti mengangkat permasalahan terkait pengaturan mengenai pembubaran Perseroan Perorangan pasca berlakunya pengaturan tentang Cipta Kerja. Perseroan Perorangan merupakan badan usaha berbadan hukum yang baru dibentuk, sehingga pengaturan yang berkaitan dengan ketentuan pelaksanaannya masih sedikit. Hal ini dibuktikan dengan adanya pengaturan terkait pembubaran Perseroan Perorangan yang masih kurang jelas, sehingga terdapat beberapa implikasi yuridis dari kondisi tersebut. Berdasarkan hal tersebut, rumusan masalah yang dapat ditarik adalah : Bagaimana implikasi yuridis dari : (a) Pengaturan pembubaran perseroan perorangan pasca berlakunya Pengaturan tentang Cipta Kerja?; (b) Pengaturan likuidasi dalam pembubaran perseroan perorangan pasca berlakunya Pengaturan tentang Cipta Kerja? Kemudian penelitian skripsi ini menggunakan metode yuridis normatif dengan metode pendekatan perundang-undangan (statute approach) dan pendekatan konseptual (conceptual approach). Bahan hukum primer, sekunder, dan tersier yang diperoleh peneliti akan dianalisis dengan menggunakan metode penafsiran gramatikal dan penafsiran sistematis. Dari hasil penelitian di atas, peneliti memperoleh jawaban bahwa pengaturan pembubaran Perseroan Perorangan pasca berlakunya pengaturan tentang Cipta Kerja masih diperlukan aturan yang lebih jelas terkait pembubaran yang dituangkan dalam Pernyataan Pembubaran agar dapat memberikan perlindungan hukum bagi para pihak yang berkepentingan. Terkait dengan pengaturan likuidasi Perseroan Perorangan pasca berlakunya pengaturan tentang Cipta Kerja masih diperlukan adanya aturan tersendiri terkait penunjukan likuidator dalam proses likuidasinya agar dapat memberikan perlindungan hukum bagi pihak yang berkepentingan. Dengan demikian, untuk kedepannya pemerintah sebagai pembuat pengaturan dan kebijakan diharapkan dapat menyempurnakan aturan yang lebih jelas terkait pembubaran Perseroan Perorangan terutama dalam hal Pernyataan Pembubaran, serta terkait penambahan klausula penunjukan likuidator yang berlaku khusus untuk proses likuidasi Perseroan Perorangan sehingga dapat memberikan perlindungan terhadap hak-hak masyarakat dan para pelaku usaha.

English Abstract

This research observes an issue of incomplete arrangements regarding the dissolution of individual companies after the entry into force of regulations regarding Job Creation. An individual company is a newly formed legal entity, so there are still few regulations relating to its implementation. This evidenced by the existence of arrangements regarding the dissolution of individual companies which are still unclear and not yet detailed, so that there are several juridical implications of this condition. Based on the aforementioned disclosure, this research was raised by these following formulation of problems: What are the juridical implications of: (a) Regulations for the dissolution of individual companies after the entry into force of the Regulations on Job Creation?; (b) The liquidation process in the dissolution of individual companies after the entry into the force of the Job Creation Regulations? Then, the writing of this research uses a normative juridical method with a statute approach and conceptual approach. Primary, secondary, and tertiary legal materials obtained by the author will be analyzed using the method of grammatical interpretation and systematical interpretation. From the results of the research above, the authors obtained the answer that arrangements for the dissolution of individual companies after the entry into force of regulations on Job Creation still require clearer rules regarding dissolution as set forth in the Statement of Dissolution in order to provide legal protection for interested parties. Regarding the regulation on the liquidation of individual companies after the regulation regarding Job Creation came into effect, there is still a need for separate rules regarding the appointment of liquidators in the liquidation process so that they can provide legal protection for interested parties. Thus, in the future the government as the regulator and policy maker is expected to refine clearer rules regarding the dissolution of individual companies, especially in terms of dissolution statements, as well as regarding the addition of liquidator appointment clauses that apply specifically to the liquidation process of individual companies so that they can provide protection for the rights of individual companies, community and business actors.
