Abstract

Tujuan Pemerintah Mendirikan BUMDES Adalah Dalam Rangka Mewujudkan Kesejahteraan Rakyat. Pencapaian Tujuan Kesejahteraan Rakyat Dengan Keberadaan Sebuah BUMDES Mempunyai Hubungan Yang Sangat Erat, Sebab BUMDES Dijadikan Salah Satu Alat Oleh Negara Untuk Dapat Mewujudkan Tujuan Tersebut. Sebagai Usaha Bersama, BUMDES Dikelola Dengan Memperhatikan Sifat Usaha BUMDES Yang Pengelolaan Usahanya Adalah Keterbukaan, Kejujuran, Partisipasif Dan Berkeadilan. Dalam Penelitian Ini, Peneliti Berfokus Untuk Mengetahui, Mengaji Serta Menganalis Status Bumdes Dalam Peraturan Pemerintah Nomor 11 Tahun 2021 Tentang Bumdes Dan Unit Usaha BUMDES Dalam Undang Undang Nomor 40 Tahun 2007 Tentang Perseroan Terbatas. Dalam Penelitian Ini, Penulis Akan Menelaah Bahan-Bahan Hukum Yang Terkait Dengan Fokus Penelitian, Kemudian Menganalisis Bahan Hukum Tersebut, Sehingga Dapat Menjawab Permasalahan Yang Timbul Dalam Penelitian Ini. Pembentukan BUMDES Dan Perseroan Terbatas Memiliki Banyak Perbedaan Dalam Segi Prinsip, Pelaksanaan, Dan Tujuan. Amanah Undang Undang Cipta Kerja Memberikan Legitimasi Bagi Bumdes Untuk Mendapatkan Status Badan Hukum, Dimana Hal Tersebut Setara Dengan Badan Hukum Yang Lainnya. Jadi, Apabila Pengklasifikasian Bumdes Dirubah Dan Tidak Ada Pengklasifikasian Kriteria Usaha, Dan Ketentuan Lebih Lanjut Diatur Di Dalam Peraturan Pemerintah Maka Akan Terjadi Kekosongan Hukum Dan Tidak Dapat Menerapkan UU Cipta Kerja Yang Berkaitan Dengan Pembentukan Perseroan Terbatas Yang Berasal Dari Bumdes 8

English Abstract

The government's goal to establish BUMDES is in the context of realizing people's welfare. The achievement of people's welfare goals with the existence of a BUMDES has a very close relationship, because BUMDES is used as a tool by the state to be able to realize these goals. As a joint effort, BUMDES is managed by taking into account the nature of the BUMDES business, managing its business is openness, honesty, participatory and fair. The establishment of BUMDes is positioned as one of the policies to realize the First, Third, Fifth and Seventh Nawacita. The type of research in this paper is normative juridical law research, or also called doctrinal legal research. In this study, the researcher focuses on knowing, studying and analyzing the position of BUMDes between Government Regulation Number 11 of 2021 concerning BUMDes and Law Number 40 of 2007 concerning Limited Liability Companies. If examined comprehensively, whatever economic policies are carried out by the Government, especially regarding BUMDes which must be in accordance with the nation's goals as stated in the 1945 Constitution of the Republic of Indonesia. , so that it can answer the problems that arise in this research. In Government Regulation Number 11 of 2021 concerning Village-Owned Enterprises as an implementing rule for the Job Creation Law, that BUM Desa or BUM Desa Bersama in obtaining legal entity status must first obtain registration from the Ministry of Villages, Development of Disadvantaged Regions and Transmigration (Kemendes PDTT) Which wants to stay away from some fields as name affinity. After the grace period for registration at the Ministry of Villages, then proceed to the Ministry of Law and Human Rights for documentation. This is done because as a legal entity, BUMDes can create a new legal entity such as a Limited Liability Company (PT). As stipulated in Government Regulation Number 11 of 2021 concerning Village Government Bodies, village BUMDsa/BUMDes will register with the minister through the village information system to obtain legal entity status. And there are still some fundamental changes in the formation of BUMDes and Limited Liability Companies
