Abstract

Penelitian ini dilatarbelakangi oleh studi empiris yang dilakukan dengan melakukan analisis perjanjian Franchise antara Wake Up 1.0 dan Wake Up 2.0 yang didalamnya terjadi wanprestasi yang dilakukan oleh pihak Wake Up 1.0 selaku Franchisor kepada pihak Wake Up 2.0 selaku Franchisee. Dalam penulisan tugas akhir ini penulis akan membahas mengenai penerapan Pasal 3 ayat (7), (10) dan (11) perjanjian waralaba pihak Wake Up Coffee, upaya hukum para pihak, serta hambatan yang dialami oleh pihak Franchisor terkait pertanggungjawaban pihak Wake Up 1.0 terhadap pihak Wake Up 2.0 terkait wanprestasi perjanjian waralaba. Setelah di lakukan penelitian, perjanjian Franchise antara Wake Up 1.0 dengan Wake Up 2.0 telah memenuhi keseluruhan klausula-klausula yang terdapat dalam Pasal 5 Peraturan Pemerintah Nomor 42 Tahun 2007 tentang Waralaba (PP Waralaba), namun dalam implementasinya pihak Wake Up 1.0 telah melakukan wanprestasi perjanjian Waralaba yaitu dalam Pasal 3 ayat (7) Perjanjian Franchise pihak Wake Up 1.0 dan pihak Wake Up 2.0 mengenai Franchisor tidak memberikan bimbingan konsultasi dan pelatihan kepada Franchisee, pelanggaran pada Pasal 3 ayat (10) pihak Franchisor sering terlambat dalam memberikan bahan baku produksi kepada Franchisee serta pada Pasal 3 ayat (11) yaitu adanya perubahan harga yang tidak diinfokan kepada pihak Wake Up 2.0. Upaya hukum yang dapat dilakukan para pihak dalam pelaksanaan Franchise oleh pihak Wake Up 1.0 selaku Franchisor terhadap pihak Wake Up 2.0 selaku Franchisee yang melanggar ketentuan pada Pasal 8 Peraturan Pemerintah Nomor 42 Tahun 2007 tentang Waralaba (PP Waralaba) serta wanprestasi pada perjanjian tidak di atur di dalam perjanjian waralaba. Di dalam Pasal 16 Peraturan Pemerintah Nomor 42 Tahun 2007 tentang Waralaba (PP Waralaba) jika terdapat wanprestasi dalam perjanjian waralaba maka Franchisor dapat dikenai sanksi administratif berupa peringatan tertulis, denda ataupun pencabutan Surat Tanda Pendaftaran Waralaba oleh Mentri, Gubernur, Bupati/Walikota, sesuai dengan kewenangannya masing-masing. Namun dalam Pasal 1266 KUH Perdata dalam penyelesaian sengketa pihak yang dirugikan dapat memilih upaya hukum melalui badan peradilan yaitu melalui Pengadilan Negeri dan Pengadilan Niaga serta dengan menggunakan arbitrase x maupun alternatif penyelesaian sengketa. Namun pada kasus ini upaya hukum yang dilakukan tidak ada, kedua belah pihak hanya melakukan musyawarah. Dan hambatan yang dialami pihak Franchisor yaitu pada saat itu sedang berada di luar kota dan di sana ia sedang sakit covid-19 maka dari itu pihak Franchoisor tidak bisa memberikan pembinaan penuh kepada pihak Wake Up 2.0, terlambat dalam pengiriman bahan serta terdapat perubahan harga menu yang belum sempat diberitahukan kepada pihak Wake Up 2.0. English Abstract

This research is motivated by an empirical study conducted by analyzing the Franchise agreement between Wake Up 1.0 and Wake Up 2.0 in which there was a default by Wake Up 1.0 as the Franchisor to Wake Up 2.0 as the Franchisee. In writing this final project, the author will discuss the application of Article 3 paragraph (7), (10) and (11) of the franchise agreement of Wake Up Coffee, the legal efforts of the parties, and the obstacles experienced by the franchisor regarding the responsibility of Wake Up 1.0 to the parties. Wake Up 2.0 regarding the default of the franchise agreement. After doing research, the Franchise agreement between Wake Up 1.0 and Wake Up 2.0 has fulfilled all of the clauses contained in Article 5 of Government Regulation Number 42 of 2007 concerning Franchise (PP Franchise), but in its implementation, Wake Up 1.0 has defaulted on the agreement. Franchise, namely in Article 3 paragraph (7) of the Franchise Agreement, the Wake Up 1.0 and Wake Up 2.0 parties regarding the Franchisor do not provide consultation and training guidance to the Franchisee, violations of Article 3 paragraph (10) the Franchisor is often late in providing production raw materials to the Franchisee as well as in Article 3 paragraph (11) namely there is a change in price that is not informed to Wake Up 2.0. Legal remedies that can be taken by the parties in the implementation of the Franchise by Wake Up 1.0 as Franchisor against Wake Up 2.0 as Franchisee who violate the provisions of Article 8 of Government Regulation Number 42 of 2007 concerning Franchise (PP Franchise) and default in the agreement are not regulated in in the franchise agreement. In Article 16 of Government Regulation Number 42 of 2007 concerning Franchise (PP Franchise) if there is a default in the franchise agreement, the Franchisor may be subject to administrative sanctions in the form of a written warning, fine or revocation of the Franchise Registration Certificate by the Minister, Governor, Regent/Mayor, in accordance with their respective powers. However, in Article 1266 of the Civil Code in resolving disputes, the aggrieved party can choose legal remedies through the judiciary, namely through the District Court and Commercial Court and by using arbitration or alternative dispute resolution. However, in this case there is no legal remedy, the two parties only conduct deliberation. And the obstacle experienced xii by the Franchisor was that at that time he was out of town and there he was sick with Covid-19, therefore the Francoisor could not provide full guidance to Wake Up 2.0, was late in sending materials and there was a change in menu prices. has not been notified to Wake Up 2.0..
