Abstract
Pada tesis ini, peneliti mengangkat permasalahan mengenai kepastian hukum atas sanksi pelanggaran pemenuhan asas publisitas oleh PT yang melakukan penggabungan. Plihan tema tersebut dilatarbelakangi oleh adanya PT yang melakukan penggabungan dengan sengaja melanggar asas publisitas yang diatur dalam pasal 133 Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Dalam peraturan perundang-undangan belum ada ketentuan sanksi atas pelanggaran pasal tersebut. Hal ini mengakibatkan belum adanya kepastian hukum atas sanksi pemenuhan asas publisitas. Seharusnya, setiap peraturan perundang-undangan dapat menjamin kepastian hukum. Rumusan masalah pada penelitian ini adalah Bagaimana kepastian hukum atas sanksi pelanggaran pemenuhan asas publisitas oleh PT yang melakukan penggabungan dan Bagaimana perlindungan hukum pihak ketiga atas pelanggaran asas publisitas oleh PT yang melakukan penggabungan. Kemudian penulisan karya tulis ini menggunakan metode penelitian yuridis normatif dengan metode pendekatan perundang-undangan (statue approach) dan perbandingan (comparative approach). Bahan hukum primer, sekunder dan tersier yang diperoleh penulis akan dianalisis dengan menggunakan teknik intepretasi komparatif dan analogi yaitu dilakukan dengan cara membandingkan penerapan asas-asas hukum yang terdapat dalam peraturan perundang-undangan yang lainnya serta aturan hukumnya. Berdasarkan hasil penelitian, peneliti memperoleh jawaban atas permasalahan yang ada bahwa sanksi atas pelanggaran pemenuhan asas publisitas yang dilakukan oleh PT yang melakukan penggabungan dapat dikaitkan dengan sanksi pelanggaran yang terdapat dalam Peraturan Komisi Persaingan Usaha Nomor 4 Tahun 2012 yaitu sanksi administratif berupa denda. Hal ini karena kewajiban pemberitahuan kepada Komisi Pengawas Persaingan Usaha (KPPU) didasari oleh pasal 133 Undang-Undang Nomor 40 Tahun 2007. Selain itu untuk PT terbuka mengenai sanksi pelanggaran pemenuhan asas publsitas dapat dikaitkan dengan sanksi pelanggaran asas keterbukaan yang terdapat dalam Undang-Undang Pasar Modal. Bahwa perlindungan hukum pihak ketiga atas pelanggaran pemenuhan asas publsitas oleh PT yang melakukan Penggabungan dapat dilakukan dengan cara melakukan permintaan pemeriksaan PT sesuai dengan ketentuan pasal 138 Undang-Undang Nomor 40 Tahun 2007 dan juga kreditur dapat mengajukan gugatan jika mengalami kerugian atas pelanggaran tersebut.
English Abstract
In this thesis, the researcher raised the issue of legal certainty over sanction of violation of publicity principle by Limited Liability Company that merges with another limited liability company. The theme placement is motivated by the existence of Limited Liability Company which do merge by deliberately violating publicity principle as regulated in article 133 of Law Number 40 Year 2007 regarding Limited Liability Company. In the legislation there is no provision for sanctions for violations of the article. This resulted in the absence of legal certainty over sanctions fulfillment of the principle of publicity. Supposedly, any laws and regulations can guarantee legal certainty. The formulation of the problem in this study is How the legal certainty over sanction of violation of the principle of publicity by Limited Liability Company that merges and How the protection of third party law for violation of the principle of publicity by Limited Persons who do the merger. Then the writing of this paper using normative juridical research methods with the approach of legislation (statue approach) and comparative (comparative approach). The primary, secondary and tertiary legal materials obtained by the authors will be analyzed using comparative interpretation and analogy techniques that are done by comparing the application of legal principles contained in other legislation and the rule of law. Based on the result of the research, the researcher got the answer to the existing problem that sanction for violation of publicity principle which conducted by Limited Liability Company which do merger can be related to sanction of violation contained in Regulation of Commission of Business Competition Number 4 Year 2012 that is administrative sanction in the form of fine. This is because the obligation of notification to the Business Competition Supervisory Commission (BCSC) is based on Article 133 of Law Number 40 Year 2007. In addition to an open Limited Liability Company, sanctions for violation of the compliance of the principle of publicity can be attributed to sanctions of violations of the principles of disclosure contained in the Capital Market Law. Whereas third party's legal protection for violation of publicity compliance by PT conducting Merger can be done by requesting a Limited Liability Company inspection in accordance with the provisions of Article 138 of Law Number 40 Year 2007 and also creditors may file a lawsuit if there is a loss on the violation.
