Abstract
Judul dalam penelitian ini dilatarbelakangi oleh maraknya pembicaraan mengenai pedoman Good Corporate Governance yang harus diterapkan dalam dunia bisnis dan PT. Semen Gresik (Persero),Tbk sebagai perusahaan go public juga harus menerapkan pedoman GCG sesuai dengan peraturan perundang-undangan serta memperhatikan semua pihak yang berkepentingan. Tujuan penelitian ini adalah untuk mengetahui dan menjelaskan penerapan prinsip Good Corporate Governance , serta mengetahui pula kendala yang dihadapi oleh PerseroAN dalam penerapan GCG dan pada akhirnya dapat mengetahui kinerja perusahaan khususnya aspek keuangan, setelah menerapkan PT. Semen Gresik sebagai perusahaan yang telah go public . Penelitian ini merupakan survey langsung yang dilakukan oleh penulis pada perusahaan PT. Semen Gresik (Persero),Tbk. Dalam menganalisis data dipergunakan jenis penelitian deskriptif melalui pendekatan kualitatif dimana penulis memaparkan gambaran sistematis mengenai kondisi-kondisi PT. Semen Gresik (Persero),Tbk secara faktual dan akurat tentang panerapan prinsip Good Corporate Governance . Dan sumber data yang digunakan dalam penilitian ini yakni sumber data primer dan data sekunder. Hasil pembahasan menunjukkan bahwa PT. Semen Gresik mampu melaksanakan prinsip GCG sesuai dengan standar code yang telah ditetapkan Hasil penelitian yang lain menujukkan bahwa kinerja perusahaan dinyatakan sehat setelah menerapkan pedoman GCG, khususnya pada aspek keuangan sesuai dengan pedoman yang tertuang dalam KEP-100/MBU/2002 tentang Penilaian Tingkat Kesehatan Badan Usaha Milik Negara, dimana perhitungan bobot keseluruhan yang diperoleh adalah BBB(50<ts<65), <i="" gcg,="" penerapan="" sebelum="" masa="" pada="" sehat="" tidak="" yang="" kinerja="" dari="" tahunnya="" tiap="" meningkat="" semakin="" pertumbuhan="" menunjukkan="" tersebut="" bobot="" dan="" a(65<ts<80)="" a(65<ts<80),=""></ts<65),<trade off dan tahun pada masa GCG mutlak dilaksanakan oleh perusahaan. Kesimpulan yang dapat ditarik dari seluruh perumusan masalah dalam penelitian adalah bahwasanya PT. Semen Gresik (Persero), Tbk telah mampu menerapkan Good Corporate Governance dengan cukup baik dan dinyatakan sehat, ditinjau dari penerapan GCG secara umum maupun secara khusus yang ditinjau dari aspek keuangan, meskipun dengan segala kendala yang dihadapinya baik dari segi sistem manajemen dan organ perusahaan, aplikasi prinsip GCG serta regulasi aspek keuangan. Dan saran yang dapat diberikan adalah PT. Semen Gresik (Persero), Tbk harus lebih mampu mengkomunikasikan penerapan GCG pada semua jajaran struktur organisasi dan dapat membuka diri terhadap publik tentang pelaksanaan GCG khususnya pada aspek keuangan yang telah diterapkan perusahaan dengan tetap menjaga rahasia perusahaan.
English Abstract
Title of research has employed as the background the conversation of Good Corporate Governance (GCG) applied in the business world. PT. Semen Gresik (Persero), Tbk remains as the go public company applying the GCG based on regulations and concerns with all interested parties. The objective of research will be to understand and to explain the application of Good Corporate Governance principle, and to acknowledge the barriers dealt by Persero in the application of GCG. Finally, research attempts to observe the company performance, especially financial aspect, to consider PT. Semen Gresik as the go public company. Research constitutes a direct survey made by the author in the PT. Semen Gresik (Persero), Tbk. Data analysis concerns with descriptive study using qualitative approach in which the author describes a systematic description about the conditions of PT. Semen Gresik (Persero), Tbk, in manner of fact and accurate on the application of Good Corporate Governance . Data source used in this research involve primary and secondary data. Results indicate that PT. Semen Gresik has been able to conduct the GCG principle based on the determined code standard. Results also show that the company performance seems healthy after applying GCG principle, especially at financial aspect based on the guide written in KEP-100/MBU/2002 on The Assessment of Healthy Rate of State Owned Enterprises. Semen Gresik (Persero), Tbk employs Good Corporate Governance sufficiently and considered as healthy under review from the general or special application of GCG, with the perspective of financial aspect. The application of GCG principle also accommodates management system and company organ and also financial regulation. Research may suggest that PT Semen Gresik (Persero) Tbk should be able to communicate the application of GCG to all organization structures and to open into public about the implementation of GCG, especially in the financial aspect applied by company through guarding company secret.
