Abstract
Offering Letter merupakan surat penawaran bank atas persetujuan kredit yang ditujukan kepada debitur. Apabila debitur setuju, maka offering letter tersebut dijadikan dasar pembuatan akta kredit dan yang menjadi permasalahan adalah isi dari offering letter tidak mencerminkan semua isi klausula dalam perjanjian kredit. . Sehingga banyak potensi kerugian yang akan ditanggung oleh debitur atas perjanjian kredit yang telah ditandatangani akan tetapi tidak sesuai dengan offering letter. Berdasarkan uraian diatas, tesis ini mengangkat perumusan masalah Bagaimana perlindungan hukum bagi debitur atas kerugian yang timbul dari Akta Perjanjian Kredit yang telah ditanda tangani, berbeda dengan Offering Letter dan bagaimana model Offering Letter yang memberikan kepastian dan perlindungan hukum dari kerugian bagi debitur akibat dari perjanjian kredit yang tidak sesuai dengan Offering Letter ? Penulisan laporan penelitian tesis ini menggunakan metode yuridis normatif, dengan metode pendekatan perundang-undangan (statute approach), dan pendekatan konsep (conceptual approach). Bahan hukum primer, sekunder, dan tersier yang diperoleh peneliti akan dianalisis dengan menggunakan teknik interpreasi. Dari hasil penelitian dengan metode diatas, peneliti memperole h jawaban tentang perjanjian baku dalam praktek perbankan masih belum sesuai dengan prinsip perjanjian dan model offering letter masih belum mengakomodir kebutuhan debitur dan kepentingan bank, sehingga perjanjian kredit yang dibuat berdasarkan offering letter masih menimbulkan dampak kerugian bagi debitur, dan diperlukan perlindungan hukum bagi debitur dari kerugian akibat perjanjian kredit yang tidak sesuai dengan offering letter.
English Abstract
Offering Letter is a letter of offer of a bank upon loan approval addressed to the debtor. If the debtor agrees, then the offering letter is used as the basis for making a credit deed and the problem is that the contents of the offering letter do not reflect all the contents of the clause in the credit agreement. in accordance with the offering letter. Based on the description above, this thesis raises the formulation of the problem How legal protection for debtors from losses arising from the signed Credit Deed, different from the Offering Letter and how the Offering Letter model provides legal certainty and protection from losses for debtors due to credit agreements that is not in accordance with the Offering Letter? The writing of this thesis research report uses the normative juridical method, with the statutory approach and the conceptual approach. Primary, secondary and tertiary legal materials obtained by researchers will be analyzed using interpreative techniques. From the results of the research with the above method, the researcher obtained an answer about the standard agreement in banking practice that is still not in accordance with the principle of the agreement and the offering letter model still does not accommodate the needs of the debtor and the bank's interests, so that the credit agreement made based on the offering letter still causes a loss effect for the debtor, and legal protection is needed for debtors from losses due to credit agreements that are not in accordance with the offering letter.
